Terms of Service

1. Definitions

  • Institution: A school, university, education provider or other organization that enters into an agreement with EasyConvo to use the Service.
  • Educator: A teacher, administrator, or staff member acting on behalf of an Institution.
  • Student: An end user learning through the Service, typically provisioned by an Institution or Educator.
  • User (“you”): Any individual who accesses or uses the Service (including Educators and Students).
  • Content: Any information or material uploaded, recorded, submitted, generated, stored or displayed via the Service (e.g., lesson prompts, assignments, audio recordings, transcripts, scores, messages, feedback).
  • AI Evaluations: Automated analyses (e.g., grammar, fluency, coherence, vocabulary) generated by EasyConvo’s models.

2. About These Terms

These Terms apply to all use of the Service and replace any prior terms for the Service, unless a separate signed agreement is in force with your Institution. If there is a conflict between these Terms and a signed agreement with your Institution, the signed agreement controls. We may update these Terms from time to time. When we do, we will update the Effective Date above and, where appropriate, notify you. Your continued use of the Service constitutes acceptance of the updated Terms.

3. Our Service

EasyConvo provides an online learning platform that enables:

  • Educators create and manage classes, courses and speaking tasks;
  • Students practice speaking, submit responses, receive transcripts and AI Evaluations;
  • Institutions and Educators to view class-level analytics and progress, subject to permissions.

We may modify, suspend, or discontinue any part of the Service at any time, including features designated as beta or preview.

4. Eligibility & Accounts

  • Institutional Use: Accounts are typically provisioned through an Institution. Users agree to comply with their Institution’s policies in addition to these Terms.
  • Minors: If you are under the age of majority in your jurisdiction, you may use the Service only with consent and under the supervision of a parent/guardian or your Institution/Educator.
  • Accuracy: You must provide accurate account information and keep it updated.
  • Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use.

5. Roles & Permissions

Institutions control settings for their Organization (e.g., which Educators can access specific classes; whether Educators may view student recordings). Students’ access to recordings, transcripts, and AI Evaluations may be enabled/limited by the Institution’s configuration.

6. User Content & License

  • Your Ownership: Except for the limited license below, you retain your rights in Content you submit to the Service.
  • Your Responsibility: You are responsible for your Content (including obtaining any necessary consents and ensuring it is lawful and appropriate).
  • License to EasyConvo: You grant EasyConvo a non-exclusive, worldwide, royalty-free license to host, process, reproduce, adapt, and display your Content solely to operate, maintain, secure, and improve the Service, provide support, and comply with law.
  • Institutional Sharing: Where enabled, Educators and authorized Institutional administrators may access relevant Student Content (e.g., transcripts, evaluations, selected recordings) for instructional purposes.
  • Service Improvements: We may use de-identified/aggregated data to improve the Service.

7. Acceptable Use & Objectionable Content

You agree not to:

  • Upload or share content that is unlawful, harassing, defamatory, discriminatory, hateful, pornographic, exploitative, or incites violence.
  • Bully, harass, or endanger minors or other users.
  • Infringe intellectual property or privacy rights.
  • Attempt to gain unauthorized access, probe or test the vulnerability of the Service, or circumvent security.
  • Interfere with the Service’s operation, introduce malware, or use the Service to send spam.
  • Use the Service for surveillance, profiling, or any purpose unrelated to education.

Reporting: To report objectionable content or misuse, contact: admin@easyconvo.ai (or your Institution admin). We may remove content and suspend or terminate accounts at our discretion.

8. AI Evaluations & Educational Guidance

AI Evaluations are intended to provide timely educational feedback, not certification, legal, medical, or professional advice. Results may contain errors. Educators should review outputs before relying on them for high-stakes decisions. EasyConvo is not responsible for decisions made solely on AI outputs.

9. Third-Party Services & Links

The Service may reference or integrate third-party services (e.g., hosting, email). We are not responsible for third-party content or practices. Your use of third-party services may be governed by their terms and privacy policies.

10. Payments & Billing (Institutions)

EasyConvo’s subscriptions and fees are managed with Institutions. We do not process individual consumer payments for Students or Educators. Institutional billing terms (pricing, purchase orders, invoice schedules, taxes) are governed by the Institution’s order form or separate agreement.

11. Feedback

If you provide suggestions or feedback, you grant EasyConvo a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate them into the Service without obligation to you.

12. Suspension & Termination

We may suspend or terminate access to the Service or remove Content if we believe you have violated these Terms, the Acceptable Use rules, law, or Institutional policy, or to protect the Service or other users. Institutions may also suspend/terminate accounts they manage.

Upon termination, your right to use the Service stops immediately. Some provisions (e.g., IP ownership, disclaimers, liability limits) survive termination.

13. Privacy & Data Protection

Your use of the Service is subject to our Privacy Policy. Among other things:

  • Student audio recordings are stored securely and accessible to the Student and, if enabled by the Institution, their Educators;
  • Only the prompt/question and the transcribed student answer are sent to our AI evaluation engine hosted in Singapore;
  • We comply with applicable PDPA and, where applicable, GDPR obligations.

14. Limitations

We make our website and its respective functions available to users; there is no entitlement to the provision of specific functions. We have the right to make changes to the content or functionality at any time (for example: through patches, updates or modifications). We do not guarantee the permanent availability of our website. More specifically, technical problems that are outside of our control may lead to downtime. Website maintenance may affect availability and will be carried out, when possible, with due care to prevent disruption. Proprietary rights and all other rights relating to this website belong to us.

15. Limitation of Liability

Our liability and that of our employees, legal representatives, travel planners, service providers or agents shall be limited to willful intent and gross negligence. This limitation does not apply to injuries to life, limb or health, to breaches of warranty or to material breach of contract, i.e. obligations which are essential to the proper performance of the contract or fulfilment of the contract purpose, or on the observance of which the contractual partner may regularly rely.

In the case of breach of material contractual obligations through minor or simple negligence we are only liable for typical and foreseeable damages.

16. Statutory and Required Information

Our website uses cookies. Cookies are text files that are stored on your computer to enable us to deliver and improve the services on our website. Whenever you use one of our websites you consent to our use of cookies. If you do not consent to us storing cookies on your computer, you may disable cookies in your browser, but in that event, we can’t guarantee that we can provide all functionality in our online services.

The contractual relationship between us and the user will be governed by Singapore law, unless a different jurisdiction is applicable as per law. The exclusive place of jurisdiction is Singapore, provided the user is a merchant or a legal person under public law. We are headquartered in Singapore, Singapore. Singapore will also serve as the place of jurisdiction if the user has no general place of jurisdiction within Singapore. Any additional mandatory places of jurisdiction for users classified as consumers, at their respective home or place of residence remain unaffected.

17. Changes to These Terms of Service

We may update these Terms of Service from time to time. We will notify you of any changes by posting the new Terms of Service on this page and updating the "Last updated" date. We encourage you to review these Terms of Service periodically for any changes.
